Legal Retainer Confuway will provide the Company with the following legal services:

Ø        Draft and review commercial contracts and other business or legal documents for the Company’s regular business matters and provide attestation services when the Company executes important contracts with others;

Ø        Draft and review various internal legal contracts and documents including employment agreements, confidentiality agreements, non-competition agreements, etc;

Ø        Remain knowledgeable of national, departmental, and industrial laws, regulations, or policies relevant to the Company’s business and provide the Company with appropriate legal information, updates, and analysis;

Ø        Assist with the Company’s creation of a contract management system, supervise implementation of contractual duties, and manage the Company’s legal risks;

Ø        Assist the Company in formulating and standardizing its human resources system and other systems as required by the Company’s bylaws;

Ø        Consult and train, as needed, the Company’s upper management team in relevant laws;

Ø        Consult on the legal aspects of the Company’s major business and management decisions;

Ø        Participate in the Company’s major business negotiations and consult in all legal matters. Per Company’s request, take all actions necessary to issue due diligence reports, legal opinions, and other legal documents;

Ø        Assist the Company in its dealings with government departments;

Ø        Consult the company in the areas of trademarks, patents, copyrights, trade name, business secrets and other intellectual property.
