Establish Wholly Foreign Owned Enterprise (“WFOE”) Confuway provides the following legal services for the establishment of Wholly Foreign Owned Enterprises:

Ø         Inform and consult the WFOE of the PRC laws and regulations governing establishment and operation of WFOEs;

Ø         Assist sponsors in designing the capital structure of the joint venture;

Ø         Assist the WFOE in its negotiations over site leasing and other matters;

Ø         Assist the WFOE in its consultations and negotiations with local government departments over resources required for operations and preferential policies;

Ø         Draft, amend, and review all legal documents needed for the establishment of the WFOE including but not limited to the drafting of the Articles of Association of the WFOE, trademark and/or patent licensing agreements (if necessary), lease agreements (if necessary), land purchasing agreements (if necessary), and others;

Ø         Assist the WFOE in composing a feasibility study report;

Ø         Assist the WFOE in composing an environmental impact assessment report;

Ø         Complete the necessary audit and registration procedures for the establishment of the WFOE;

Ø         Assist the WFOE with any post-establishment matters such as: foreign exchange registration, tax registration, opening bank accounts, capital audits, customs registrations, etc.
